Action Taken at February 6, 2007 Meeting

Shall the commission:

20. Authorize the chief financial officer to manage a $5 million line of credit? Key Bank has offered the port a $5 million taxable line of credit to meet fiscal obligations. There is a $1,000 annual fee and the interest rate is below the banks primate rate. (Resolution 1225A) Approved 2-0, Jim Jorgensen excused.

21. Authorize the executive director to enter into a $42,000 amended contract with Reid Middleton of Everett to perform a survey of Gates 6,7,8,9 and 10 in Squalicum Harbor? The orginal contract was approved at the 6/6/06 meeting, vote number 71. The survey will evulate the costs associated with extending the life of the docks. The port doesn’t want the expense of replacing the docks at the same time they are building a new marina. Approved 2-0, Jim Jorgensen excused.

22. Modify and extend the Foreign Trade Subzone agreement with BP Products North America? The original five-year agreement was approved at the 2/5/02 port commission meeting with the port being paid an annual fee of $10,000. This vote renews the agreement through April 2011 with an annual fee of $12,500. Approved 2-0, Jim Jorgensen excused.

23. Authorize the sale of three vessels, the contents of two web lockers and one dry storage for the nonpayment of moorage and storage fees? The fees for one vessel and one web locker were paid. An auction was held on February 22 and the contents of one web locker was sold. The two vessels and the dry storage contents were not sold. The J.G. Murphy Company in Kenmore auctioned the two vessels on March 17. One vessel was sold for $2,750 and the other for $750. Approved 2-0, Jim Jorgensen excused.

24. Approve a memorandum of understanding with Bellwether Gate LLC for development at Bellwether on the Bay? The memorandum lays out conditions for the development of 3.13 acres at Bellwether on the Bay. The port will have approval of the design of the project. Construction on Zone 1 (between the two Anthony’s restaurants) must begin by 4/1/08 and be completed by 9/1/09. Bellwether Gate will pay a capital lease payment of $2,002,560 plus state tax for 95,360 square feet. Construction on Zone 2 (between the Paulsen Building and the U.S. Coast Guard station) must begin by 5/1/09 and be completed by 9/1/10. Bellwether Gate will pay a capital lease payment of $866,124 plus state tax by 9/30/10. Approved 2-0, Jim Jorgensen excused.

25. Authorize the executive director to enter into a $96,011 contract (amendment #3) with The Retec Group of Concord, Mass., for the remedial investigation/feasibility study and cleanup plan for Whatcom Waterway? The original contract for $274,500 was approved at the 5/3/05 meeting, vote number 61 and a $240,938 contract (amendment #2) was approved at the 3/7/06 meeting, vote number 34. The latest amendment brings the total contract to $611,411. State grants will cover half the expenses and port insurance the other half. The contract expires on 6/30/07. Approved 2-0, Jim Jorgensen excused.

26. Authorize the executive director to accept a $25,0000 state grant for the remedial investigation/feasibility study (see previous vote) of Whatcom Waterway? The first state grant for $201,153 was approved at the 5/3/05 meeting, vote number 59 and the second grant for $121,484 at the 5/2/06 meeting, vote number 58. This grant brings the total for the remedial investigation/feasibility study of Whatcom Waterway to $348,300. Approved 2-0, Jim Jorgensen excused.

27. Approve a lease with Pacific Cataract and Laser Institute of Chehalis for 1.9 acres at the Bellingham airport? The institute will construct a 7,500 square foot building on the property for an eye clinic. See the 9/19/06 meeting, vote number 104, for details about the building. The annual lease will be $44,693 plus state tax. Approved 2-0, Jim Jorgensen excused.

28. Approve a three-year lease with the city of Bellingham for office space at 11 Bellwether Way? The office for Waterfront Redevelopment will be located in Suite 110 from 2/1/07 until 1/21/10. The yearly lease payment will be $18,252 with a 3 percent increase in years two and three. Approved 2-0, Jim Jorgensen excused.

29, Modify a lease agreement with Yamato Properties for environmental cleanup? A 50-year lease was signed in June 2000 for 43,560 square feet at the Bellingham airport. In June 2001, four sites on the property were identified as possibly contaminated. Yamato has agreed to share the cost of retesting the sites and, if necessary, implement a remediation plan. Approved 2-0, Jim Jorgensen excused.

30. Approve a sublease agreement with Williams Concrete Accessories? Yamato Properties (see previous vote) is no longer located at the Bellingham airport. Yamato subleased 10,000 square feet to the Williams Concrete Accessories and distribution business. Approved 2-0, Jim Jorgensen excused.
